1. Company Introduction

Helu Live is a global live streaming and interactive entertainment platform owned and operated by Jinvexo Limited, a company registered in the United Kingdom. By downloading, accessing, or using Helu Live (the "Service," "App," or "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not access or use the Service.

Jinvexo Limited is a product-focused software and technology company. Helu Live is our flagship product, providing live streaming, audio rooms, virtual gifting, and creator community features to users worldwide.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher, to create an account and use Helu Live. By using the Service, you represent that you meet this requirement.

Helu Live is not directed at children. We do not knowingly permit users under the minimum age to register or use the Service. If we become aware that an underage user has created an account, we will terminate that account and remove associated data as required by law.

Availability of the Service may vary by country or region. We reserve the right to restrict or deny access in jurisdictions where offering the Service would violate applicable law, sanctions, or regulatory requirements.

3. Account Registration

You must register an account to access most features of Helu Live. You agree to:

  • Provide accurate, current information during registration
  • Keep your login credentials confidential and not share your account with others
  • Notify us promptly of any unauthorized use of your account
  • Be responsible for all activity that occurs under your account

We may verify your identity, including for age assurance, fraud prevention, or compliance purposes, and may suspend access pending verification.

4. User Responsibilities

You are solely responsible for your conduct and content on Helu Live, including anything you stream, post, send as a message, or share through virtual gifts or chat. You agree to comply with these Terms, our Community Guidelines, and all applicable laws.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Impersonate any person or entity, including Jinvexo Limited staff
  • Circumvent, disable, or interfere with security features
  • Use automated tools (bots, scrapers) to access the Service without authorization
  • Reverse engineer, decompile, or attempt to extract source code from the App
  • Use the Service to facilitate transactions, sales, or solicitations outside of Helu Live's own virtual gifting system

6. Live Streaming Rules

Users who broadcast live content ("Broadcasters") must comply with our Community Guidelines at all times. Prohibited content during live broadcasts includes, without limitation, nudity, sexually explicit content, graphic violence, hate speech, content endangering minors, and content promoting illegal activity.

We use a combination of automated (AI-assisted) detection and human review to monitor live content. Broadcasts found in violation may be interrupted, ended, or removed at our discretion, and the associated account may be subject to enforcement action under Section 12.

7. Audio Room Rules

Voice-based rooms are subject to the same Community Guidelines as live video broadcasts, including prohibitions on harassment, hate speech, sexual content, and illegal activity conducted through voice communication. Room hosts are responsible for the conduct of participants in rooms they moderate, to the extent tools are provided to do so.

8. Virtual Gifts & Coins

Helu Live offers virtual currency ("Coins") that users may purchase and use to send virtual gifts to Broadcasters and other users. Coins and virtual gifts:

  • Have no cash value and are not redeemable for cash, except as expressly stated in these Terms or required by applicable law
  • Are non-transferable between accounts, except through features we expressly provide
  • May be subject to expiration, usage limits, or removal in accordance with our policies

Where creators are eligible to receive value in exchange for gifts received, the terms of that arrangement (payout eligibility, thresholds, timing) will be set out in a separate Creator/Payout agreement.

9. Payments & Refunds

All purchases of Coins or in-app purchases are processed through the applicable app store (Apple App Store, Google Play) or a Jinvexo Limited-authorized payment processor. Purchases are generally final and non-refundable, except:

  • As required by applicable consumer protection law
  • Where the applicable app store's refund policy applies
  • At Jinvexo Limited's sole discretion in cases of demonstrated billing error

We do not store your full payment card details; payment processing is handled by our payment processor(s) and/or the relevant app store, in accordance with their own terms and privacy practices.

10. Intellectual Property

All content, trademarks, logos, and software comprising Helu Live are owned by Jinvexo Limited or its licensors. Users retain ownership of original content they create and upload, but grant Jinvexo Limited a worldwide, non-exclusive, royalty-free license to host, display, distribute, and promote that content in connection with operating and marketing the Service. Users must not upload content that infringes the intellectual property rights of any third party.

11. AI Content Moderation

Jinvexo Limited uses AI-assisted systems, alongside human review, to detect and act on content that violates our Community Guidelines. This includes automated detection of nudity, graphic violence, hate speech, and other prohibited content categories, described in full in our Community Guidelines. Users may appeal enforcement decisions they believe were made in error, through the process described in our Community Guidelines.

12. Account Suspension & Termination

We may suspend or terminate accounts, with or without notice, for violations of these Terms or our Community Guidelines, suspected fraud, legal or regulatory requirements, or to protect the safety of our users and platform. Users may also delete their own account at any time through in-app settings. Termination does not relieve users of obligations incurred prior to termination, including any outstanding payment obligations.

13. Limitation of Liability

To the maximum extent permitted by law, Jinvexo Limited shall not be liable for indirect, incidental, special, or consequential damages arising from use of the Service. The Service is provided "as is" and "as available," without warranties of any kind except as required by applicable law. Nothing in these Terms limits liability that cannot be excluded under applicable law, including liability for death, personal injury, or fraud.

14. Governing Law

To be finalized with counsel — this should reflect Jinvexo Limited's actual jurisdiction of incorporation (UK) and the jurisdictions where you operate.
